During your subcontract work with Virtual Freight Inspections, Inc., you will be exposed to the proprietary processes, approaches and procedures of Virtual Freight Inspections, Inc., which have been developed at great expense and are the proprietary processes found at the web site www.vfinspections.com. These are critical to the competitive survival of Virtual Freight Inspections, Inc. and without VF Inspection's written permission, you shall not during your subcontractor role or thereafter, directly or indirectly, use or disclose to others any trade secrets of Virtual Freight Inspections, Inc., including, but not limited to the procedures and processes of on-line inspections, until such time as such information has become otherwise publicly available. You agree to use Virtual Freight Inspections, Inc. information only for intended purposes of qualifying prospects or providing inspection services for the Client, and will not use VF Inspection information to serve other operations beyond those intended, or to service or consult with others on transportation improvement matters, or to sell or publish materials based on the VF Inspection information. Confidential VF Inspection information will remain the property of Virtual Freight Inspections, Inc. and will be returned to Virtual Freight Inspections, Inc. by you promptly at VF Inspection's request with all copies, electronic and paper, thereof. This Agreement creates no other obligations nor confers any license or other right to you with respect to any intellectual property asset of Virtual Freight Inspections, Inc.
